Welcome to https://www.lighthousecoaching.com (the “Website”). This Terms of Use Agreement (the “Agreement”) is made and entered into by and between you and Lighthouse Coaching LLC, a subsidiary of Strategic Partners, LLC (the “Company,” “us,” “we,” or “our”).

This Agreement governs your use of the Website and any products, materials, or services provided by or on the Website (collectively, the “Services”).

By accessing or using the Services—or clicking “accept” when prompted—you agree to be bound by this Agreement on behalf of yourself or the entity you represent.

If you do not agree, you must stop using the Website immediately.

1. Communications from Us

By using the Services, you consent to receive communications from us, including:

•       Appointment confirmations

•       Account information

•       Product and service information

•       Marketing messages

•       Responses to help requests

•       Webchat replies

•       Opt-in and opt-out confirmations

Communications may be sent by email, SMS/text message, or other electronic means. Message and data rates may apply.

2. Eligibility Requirements

To use the Services, you must:

1)    Be at least 18 years old

2)    Reside in the United States, Canada, or the United Kingdom

3)    Not be a competitor or using the Services for competitive purposes

By using the Services, you represent and warrant that you meet all these requirements and have the authority to enter into this Agreement.

3. Changes to the Agreement

We may update this Agreement at any time in our sole discretion. Except for legal or administrative changes, we will provide reasonable advance notice before changes take effect.

Your continued use of the Services after changes become effective constitutes your acceptance of the updated terms.

4. Access to the Services

4.1 Changes to Access

We may modify, withdraw, or discontinue the Services at any time without notice. We are not liable for any unavailability of the Services.

4.2 Creating an Account

You may need to register and provide accurate, current information. Connecting via a third-party platform grants us permission to access information from that service as allowed by its policies.

4.3 Account Responsibilities

You are solely responsible for:

•       Maintaining the confidentiality of your login credentials

•       All activities under your account

•       Exiting your account after each session

•       Using caution on shared or public computers

You agree to notify us immediately of any unauthorized use. We may suspend or terminate your account at any time for any or no reason.

5. Using the Services

Prohibited Uses

You may use the Services only for lawful purposes. You agree not to:

•       Violate any laws or contractual obligations

•       Send unsolicited communications (spam, promotions, chain letters, etc.)

•       Impersonate any person or entity

•       Harm or exploit minors

•       Upload content violating these Content Standards

•       Interfere with others’ use of the Services

•       Interfere with or disable the Services’ infrastructure

•       Scrape, crawl, or copy content

•       Upload viruses, malware, or harmful code

•       Attempt to gain unauthorized access to any system

•       Reverse engineer or attempt to obtain source code

•       Collect data about users without their consent

•       Attempt, or assist others in attempting, any of the above

Geographic Restrictions

The Services are intended for users located in the United States, Canada, and the United Kingdom. Use outside these regions is at your own risk.

6. Coaching Disclaimer

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

The Services provided by Lighthouse Coaching LLC are coaching services only. Our coaches are not licensed therapists, psychologists, psychiatrists, counselors, medical doctors, attorneys, or financial advisors.

The Services are not a substitute for:

•       Professional therapy, counseling, or mental health treatment

•       Medical advice, diagnosis, or treatment

•       Legal advice or representation

•       Financial or investment advice

Coaching is a collaborative relationship focused on personal and professional development, goal-setting, accountability, and forward-looking growth. If you are experiencing a mental health crisis, medical emergency, or require professional advice in any licensed field, please seek appropriate professional help immediately.

By using the Services, you acknowledge and agree that:

•       You are solely responsible for your own decisions, actions, and results

•       Coaching outcomes vary and no specific results are guaranteed

•       You will seek appropriate professional help for issues outside the scope of coaching

•       The Company is not liable for any decisions you make based on coaching sessions or content

7. Terms and Conditions of Sale

7.1 Purchasing Process

When placing an order, you will:

5)    Provide required contact and payment information

6)    Review your order

7)    Submit your order, agreeing to pay the listed price

7.2 Order Submission

Submitting an order:

•       Creates a binding contract

•       Obligates you to pay all listed costs

•       Requires your cooperation if we need additional information

•       Generates an order receipt sent to your email

7.3 Pricing

You will be informed of all fees, taxes, and charges during checkout.

7.4 Payment Methods

Payments are processed through third-party vendors. We do not store credit card information. If your payment fails or is refused, we are not obligated to fulfill your order.

7.5 Retention of Rights

You do not acquire rights to use purchased Services until we receive full payment.

8. Subscriptions

8.1 General

Subscription Services renew on a schedule described at purchase. Service access may be interrupted if payment is not received.

8.2 Fixed-Term Subscriptions

These run for the full period purchased and cannot be terminated early.

8.3 Automatic Renewal

Subscriptions automatically renew unless canceled within the timeframe provided at the time of purchase.

8.4 Termination

You may cancel recurring subscriptions at any time by:

•       Written notice to us

•       Using cancellation controls within the Website

Cancellations take effect at the end of the current billing period.

9. Intellectual Property Rights

9.1 Ownership

All content, features, and functionality (“Content”)—including but not limited to text, graphics, logos, videos, coaching frameworks, course materials, assessments, worksheets, and software—are owned by the Company or its licensors and protected by U.S. and international intellectual property laws.

9.2 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal and internal business use.

9.3 Restrictions

You may NOT:

•       Copy, modify, or distribute the Content

•       Create derivative works

•       Sell, sublicense, or exploit the Content

•       Remove copyright or proprietary notices

•       Use the Content to compete with us

•       Aggregate or compile our content into a database

•       Record, screenshot, or reproduce coaching sessions, courses, or program materials without written permission

•       Share login credentials or access with unauthorized users

9.4 Trademarks

All trademarks on the Site belong to us or their respective owners. You may not use them without written permission.

10. User Content

You are solely responsible for any content you submit (“User Content”). User Content is considered non-confidential and non-proprietary.

10.1 License to Us

You grant us a worldwide, perpetual, transferable, royalty-free license to:

•       Use

•       Reproduce

•       Distribute

•       Display

•       Modify

•       Create derivative works

•       Sub-license your content

This license applies to all media and formats, whether now known or developed in the future.

10.2 Group Coaching / Community Forums

Anything you share in group coaching sessions, community spaces, or forums may be visible to other participants. We cannot guarantee confidentiality of information shared in these settings. By participating, you acknowledge this risk and agree to exercise discretion.

10.3 Content Standards

User Content must not:

•       Violate laws

•       Promote illegal activity

•       Infringe intellectual property rights

•       Defame, threaten, abuse, or harass

•       Contain obscene or discriminatory content

•       Be misleading or fraudulent

•       Imply Company endorsement

10.4 Monitoring

We may remove content, terminate accounts, or disclose information to authorities at our discretion. We do not pre-screen content and are not liable for user interactions.

11. DMCA / Copyright Infringement

If you believe your copyrighted work has been infringed, send a DMCA notice to our Designated Agent:

Your notice must include:

•       Your physical or electronic signature

•       Identification of the copyrighted work

•       Identification of infringing material and its location

•       Your contact information

•       A good-faith statement of unauthorized use

•      A statement under penalty of perjury that your claim is accurate

Misrepresentations may result in damages under 17 U.S.C. §512(f).

12. Feedback

Any feedback you provide becomes our property, and we may use it freely without restriction or compensation.

13. Assumption of Risk

All information provided through the Services is for general informational and educational purposes only. We make no guarantees regarding the accuracy or suitability of content. Your use of the Services is entirely at your own risk.

15. Termination

We may suspend or terminate your access at any time for any reason. Upon termination, your rights to use the Services immediately cease.

16. No Warranty

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

This includes, but is not limited to:

•       Warranties of merchantability

•       Fitness for a particular purpose

•       Accuracy

•       Non-infringement

We do not guarantee:

•       Business results, revenue, or income

•       Specific coaching outcomes

•       Uninterrupted service

•       Error-free operation

•       Virus-free systems

Some jurisdictions do not allow exclusions of implied warranties; in such cases, warranties are limited to 90 days.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

•       Loss of revenue

•       Loss of data

•       Loss of goodwill

•       Lost business opportunities

•       Consequential or punitive damages

•       Any damages arising from coaching sessions, advice, or content

YOUR EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.

18. Indemnification

You agree to indemnify and hold harmless Lighthouse Coaching LLC, Strategic Partners, LLC, and their respective officers, employees, agents, and affiliates from all claims, damages, losses, liabilities, and costs arising from:

•       Your use of the Services

•       Your User Content

•       Your breach of this Agreement

•       Any decisions you make based on coaching received through the Services

We may assume exclusive defense of any claim at your expense.

19. Disputes

19.1 Governing Law

This Agreement is governed by the laws of the State of Maine.

19.2 Venue

Any legal action must be brought in state or federal courts located in Penobscot County, Maine.

19.3 Arbitration

At our discretion, disputes may be resolved through binding arbitration under AAA rules in Penobscot County, Maine.

Arbitration must be:

•       Individual (not class-based)

•       Final and binding

You waive:

•       Right to jury trial

•       Right to participate in class actions

19.4 Time Limitation

ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR OR IT IS FOREVER BARRED.

20. Miscellaneous

Waiver

Failure to enforce any term is not a waiver of that term.

Severability

If any part of this Agreement is invalid, the remaining terms remain in full effect.

Entire Agreement

This Agreement, together with our Privacy Policy, supersedes all prior agreements related to the Services.

Headings

Headings are for convenience only and do not affect interpretation.

No Agency

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and the Company.

Assignment

You may not assign your rights or obligations without our consent. We may assign ours at any time.

Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemics, internet outages, or other force majeure events.

21. SMS Opt-Out

You may cancel SMS communications at any time by texting STOP to [INSERT SMS NUMBER]. Text HELP for assistance.

After you send the SMS message “STOP,” we will send you a confirmation that you have been unsubscribed. After this, you will no longer receive SMS messages from us.

Carriers are not liable for delayed or undelivered messages. Message and data rates may apply. You will receive no more than three messages per appointment. If you have any questions about your text plan or data plan, contact your wireless provider.

22. Export Laws

You agree to comply with all U.S. export control laws and regulations.
